Netarise Terms of Service

    Welcome to Netarise. These Terms of Service ("Terms") govern your access to and use of the Netarise platform, including our website at netarise.com, our mobile applications, and any related services (collectively, the "Platform"), provided by Prime Business Systems, a company headquartered at 8 The Green, Suite 17312, Dover, DE 19901, United States ("Netarise," "we," "us," or "our").

    By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

    1. Eligibility and Accounts

    1.1 Age Requirements

    You must be at least 13 years old to use the Platform. If you are under 18 (or the age of majority in your jurisdiction), you may only use the Platform with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf. Users under 13 are not permitted to use the Platform under any circumstances. Users under 13 do not participate in Netarise Cash even if a parent has consented to the user's general use of the Platform.

    1.2 Account Creation

    To use most features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as needed. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

    1.3 One Account per Person

    You may only maintain one active personal account on the Platform. Multiple accounts created to circumvent platform mechanics, evade enforcement, manipulate share prices, manipulate the Netarise Cash pool, or otherwise game the system are prohibited and may result in suspension or termination of all related accounts and forfeiture of in-platform balances including Netarise Cash.

    1.4 Account Security

    You are solely responsible for maintaining the security of your account, including your password. You agree to notify us immediately at support@mail.netarise.com of any unauthorized access or security breach. Netarise is not liable for any loss or damage resulting from your failure to comply with this section.

    2. Platform Description

    Netarise is a gamified social platform that combines social networking, creator support, and community engagement features. The Platform includes:

    • Social profile pages where users can post content and engage with others;
    • An in-app virtual currency system using Coins and Gems;
    • A share-backing system where users hold shares in profiles using Coins;
    • Leveling, XP, faction, and leaderboard mechanics;
    • Subscription plans (Bronze, Silver, Gold, Platinum) with cosmetic perks and stronger rewards multipliers;
    • An optional Auto-Collect add-on;
    • The Netarise Cash system, a long-game vanity reward described in detail in Section 4;
    • Battle, boost, store, messaging, notifications, affiliate, and related features.

    Netarise is a social platform first and a game second. It is not a financial product, a securities trading platform, or a banking service.

    3. Game Mechanics and Virtual Currency

    3.1 Coins

    Coins are the primary in-app virtual currency. Coins are earned through daily collection, activity, share rewards, and other Platform mechanics. Coins are used to back profiles, place yourself on the leaderboard, and unlock platform features. Coins have no real-world monetary value, are non-transferable outside the Platform, and may not be exchanged for currency or sold to third parties.

    3.2 Gems

    Gems are a premium in-app virtual currency. Gems may be purchased with real money or earned through certain platform activities. Gems are used to purchase cosmetics, profile customization, battle boosts, and other premium items in the Netarise Store. Gems are non-refundable except where required by law, non-transferable, and have no real-world monetary value.

    3.3 Shares

    Shares represent your support for a profile on the Platform. You acquire shares using Coins, and the share price is determined by an internal popularity-based pricing curve. Shares are not securities. They do not represent ownership of any company, do not entitle you to any equity, governance, voting, or revenue-share rights, and are not regulated under any securities or commodities law. Shares may go up or down in price based on platform activity. You may sell shares back into the system using the same internal pricing curve. Shares have no real-world monetary value outside the Platform.

    3.4 Levels, XP, and Leaderboard

    Levels and XP track your activity and progression on the Platform. The leaderboard ranks profiles by popularity score and other internal metrics. Level, XP, and leaderboard placement have no monetary value, do not entitle you to any payment, and exist solely as in-platform progression mechanics.

    3.5 Virtual Currency and Economy Disclaimer

    Coins, Gems, Shares, XP, levels, faction membership, and all in-platform mechanics are provided as a service. They are not money, not deposits, not securities, not commodities, not stored value, and not regulated financial instruments. Netarise may, in its sole discretion, adjust the rules, rates, prices, and mechanics of any in-platform system at any time. Existing in-platform balances are governed by the rules in effect at the time the balances are used or, in the case of Netarise Cash payouts, at the time the payout is processed. Netarise Cash, while denominated in US dollars, is not yet a redeemable currency at the time of these Terms taking effect, and is governed by the dedicated section below.

    4. Netarise Cash

    4.1 Definition

    Netarise Cash (sometimes referenced as "NETC") is a vanity reward currency tracked in your account, denominated in US dollars, and accrued through your activity on the Platform. Netarise Cash is held in a community pool and is designed to be paid out as real-world distributions when, and only when, platform sustainability supports such payouts.

    4.2 The Pool Model

    Contributions to the Netarise Cash pool come from various platform activities, including but not limited to share-backing flows, store activity, subscription revenue allocations, and other platform mechanics that Netarise may designate from time to time. Contributions and distributions involve all eligible users, including NPC profiles operated by Netarise as part of the platform's community structure. NPC participation in the pool, on both contribution and distribution sides, is intentional, integral to the design of the system, and disclosed transparently here.

    4.3 The Activity Gate

    To retain your accrued Netarise Cash balance, you must remain active on the Platform per the published activity rules. Activity is currently evaluated on a weekly basis and considers factors including but not limited to login frequency, daily collection, share-backing activity, XP earned, social engagement, and faction participation. Failure to meet the activity threshold during a check period may result in your balance entering a frozen state, then a decay state, and finally a reset state, in accordance with the rules published on the Platform from time to time. A reset balance is non-recoverable.

    4.4 Future-Conditional Payouts

    Payouts of Netarise Cash are not active at the time these Terms take effect. Payouts will activate when platform sustainability supports them, and Netarise makes no guarantee as to when, or whether, payouts will activate. The decision to activate payouts is made by Netarise in its sole discretion, based on factors including but not limited to the size and stability of the community pool, the financial health of the Platform, applicable legal and regulatory considerations, and the long-term sustainability of the Platform. Netarise may delay, modify, or decline to activate payouts at any time. You acknowledge and accept this conditional nature of Netarise Cash as a condition of participation in the system.

    4.5 Disclaimers Regarding Netarise Cash

    Netarise Cash is not, and shall not be construed as, any of the following:

    • A security, a share of stock, an investment contract, or any other regulated financial instrument;
    • A deposit, a savings account, or any form of stored value subject to deposit insurance;
    • A debt instrument, a loan, or a promise to pay any sum on a fixed schedule;
    • An interest-bearing instrument; Netarise Cash does not earn interest;
    • An ownership stake in Netarise, Prime Business Systems, or any affiliated entity;
    • A grant of voting rights, governance rights, or revenue-share rights in any entity;
    • A cryptocurrency, blockchain token, or non-fungible token;
    • A guaranteed promise of any specific real-world payment.

    Netarise Cash is a vanity reward with a real-world conversion path that activates only when platform sustainability supports it.

    4.6 Modification Rights

    Netarise reserves the right, in its sole discretion, to modify the following at any time:

    • Contribution rates and the activities that contribute to the pool;
    • Distribution rules and the activities that influence distribution;
    • Activity check criteria, periods, and thresholds;
    • Forfeiture rules, including freeze, decay, and reset thresholds;
    • Minimum payout thresholds (currently $1,000 USD);
    • KYC and identity verification requirements;
    • Geographic availability of payouts;
    • The list of qualified third-party verification and payment providers;
    • Any other operational rule of the system.

    We will provide reasonable advance notice of material changes through in-Platform announcements, email to your registered address, or both. Your continued participation in the Platform after the effective date of any change constitutes acceptance of the modified rules. Existing balances are governed by the rules in effect at the time of payout.

    4.7 Cashout Flow (When Activated)

    When payouts activate, the cashout flow will require the following:

    • Your accrued balance must meet or exceed the minimum payout threshold (currently $1,000 USD);
    • You must complete identity verification (KYC) through a qualified third-party identity verification provider;
    • You must provide bank or payment account details necessary to receive the payout, processed through a qualified third-party payment processor;
    • You must reside in a jurisdiction where payouts are legally available;
    • You must not be subject to any sanctions or other legal restrictions that would prevent the payout, including those imposed by the U.S. Office of Foreign Assets Control (OFAC) or equivalent authorities in other jurisdictions;
    • You must not have any outstanding violations of these Terms;
    • You must comply with any reasonable additional requirements imposed at the time of payout activation.

    Netarise may, in its sole discretion, decline to process a payout for fraud, suspected fraud, violations of these Terms, legal restrictions, or any other lawful reason. A declined payout does not erase your balance unless the underlying basis is forfeiture.

    4.8 Tax Responsibility

    You are solely responsible for any tax obligations arising from any payout you receive of Netarise Cash. Netarise does not provide tax advice. When required by law, Netarise may issue tax forms (such as IRS Form 1099 in the United States, or equivalent forms in other jurisdictions) to document payouts. You should consult a qualified tax professional regarding your obligations.

    4.9 Geographic Restrictions

    Payouts may not be available in all jurisdictions. Netarise will not process payouts to users in countries or regions subject to U.S. sanctions or where applicable law prevents the distribution. The list of eligible jurisdictions will be published on the Platform prior to payout activation and may be modified from time to time.

    4.10 Forfeiture for Terms Violations

    Any violation of these Terms, our Community Guidelines, or applicable law may result in forfeiture of your accrued Netarise Cash balance, in addition to any other enforcement action Netarise elects to take. Forfeited balances are non-recoverable, and Netarise has no obligation to compensate you for forfeited amounts.

    4.11 Suspension and Account Closure

    If your account is suspended or terminated for cause under these Terms, your accrued Netarise Cash balance is forfeited and non-recoverable. If you voluntarily close or delete your account, your accrued Netarise Cash balance is forfeited and non-recoverable. Forfeiture upon account closure is final.

    4.12 NPC Participation

    Netarise operates a number of NPC profiles as part of the Platform's community structure. NPC profiles participate in the Netarise Cash system on both contribution and distribution sides, by design. This participation is intentional, integral to the system's economic stability, and disclosed transparently in these Terms.

    4.13 No Purchase or Subscription Required

    Participation in Netarise Cash does not require any payment, purchase, or paid subscription. The system is open to all eligible active users on free and paid plans equally. No consideration of any kind is required to participate, accrue Netarise Cash, or receive a payout when payouts are activated.

    4.14 Non-Transferability

    Netarise Cash balances are personal to the account holder. They are non-transferable between users, non-assignable to third parties, and non-inheritable. Balances cannot be gifted, sold, traded, or otherwise conveyed to any other person or entity by any means.

    4.15 Audit and Disputes

    You may request review of your Netarise Cash balance, activity check status, or any related determination by contacting support@mail.netarise.com. Netarise will review the request in good faith and respond within a reasonable timeframe. Netarise's records are final, and disputes are resolved in accordance with the dispute resolution provisions of Section 17.

    5. KYC and Payment Data

    5.1 Collection at Payout Time

    When payouts of Netarise Cash are activated and you request a payout, you will be required to complete identity verification (KYC) and provide payment information. The data collected may include, but is not limited to: your full legal name, date of birth, residential address, government-issued identification numbers, scanned copies of identification documents, biometric verification (such as a selfie matched against your ID), and bank or payment account details.

    5.2 Third-Party Processors

    KYC data and payment data are processed through qualified third-party identity verification providers and qualified third-party payment processors. These providers are bound by their own privacy policies and applicable data protection laws. Netarise selects providers based on industry-standard security and compliance practices.

    5.3 Retention

    KYC data and payment data are retained for the legally required period (typically 5 to 7 years post-payout, depending on jurisdiction) and then deleted in accordance with applicable law. Specific retention periods are set out in our Privacy Policy.

    5.4 Use Limitations

    KYC data and payment data are used solely for the purposes of identity verification, payout processing, fraud prevention, anti-money-laundering compliance, sanctions screening, and tax reporting. We do not use this data for marketing, profile enrichment, or any other purpose.

    6. Subscriptions and Paid Features

    6.1 Plans

    Netarise offers paid subscription plans (currently Bronze, Silver, Gold, and Platinum) and an optional Auto-Collect add-on. Plans provide stronger rewards multipliers, cosmetic perks, and additional platform benefits. Plan pricing and features are displayed on the Pricing page and may be updated from time to time.

    6.2 Plan-Agnostic Features

    Certain Platform features are available to all users regardless of plan, including the full social platform, daily coin collection, leveling, share-backing, leaderboard placement, and Netarise Cash. Netarise Cash is not gated behind any paid plan, and free-plan users participate in Netarise Cash on the same rules as paid-plan users.

    6.3 Billing

    Subscription fees are billed monthly through our payment processor. By subscribing, you authorize us to charge the payment method on file on a recurring basis. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current billing period.

    6.4 Auto-Renewal

    Subscriptions automatically renew at the end of each billing period unless cancelled. We will notify you of any price changes with reasonable advance notice and an opportunity to cancel before the change takes effect.

    6.5 Refunds

    Subscription fees are generally non-refundable except where required by applicable law. Gem purchases are non-refundable except where required by applicable law. We do not refund partial billing periods, unused features, or in-platform virtual currency once issued.

    6.6 Plan Changes

    You may upgrade or downgrade your plan at any time. Upgrades take effect immediately, with prorated billing where applicable. Downgrades take effect at the end of the current billing period. Plan-related cosmetic perks and multipliers are tied to your active plan and may change when your plan changes.

    7. User Conduct

    7.1 Acceptable Use

    When using the Platform, you agree to:

    • Comply with all applicable laws and regulations;
    • Respect other users and engage in good faith;
    • Use only your own account and not impersonate others;
    • Provide accurate information and not misrepresent your identity;
    • Use the Platform for its intended purposes.

    7.2 Prohibited Conduct

    You agree not to:

    • Create multiple accounts or operate accounts on behalf of others without authorization;
    • Use bots, scripts, or automated tools to interact with the Platform, except for assistive accessibility tools;
    • Manipulate share prices, the Netarise Cash pool, the leaderboard, or any other platform mechanic;
    • Engage in farming, sybil attacks, wash activity, or other forms of system manipulation;
    • Harass, threaten, dox, or abuse other users;
    • Post content that is illegal, hateful, defamatory, sexually explicit, or otherwise objectionable;
    • Post political content or content intended to incite political conflict; the Platform deliberately does not host political discourse;
    • Infringe on intellectual property rights of others;
    • Distribute malware, phishing links, or other malicious content;
    • Engage in fraud, money laundering, or any other illegal financial activity;
    • Reverse-engineer, decompile, or attempt to derive the source code of the Platform;
    • Bypass security measures, access controls, or rate limits;
    • Use the Platform in any way that violates these Terms or applicable law.

    7.3 Enforcement

    We reserve the right to investigate and take appropriate action in response to violations, including issuing warnings, suspending accounts, terminating accounts, removing content, forfeiting in-platform balances (including Netarise Cash), and reporting violations to law enforcement where appropriate.

    8. User Content

    8.1 Your Content

    You retain ownership of the content you post to the Platform ("User Content"). By posting User Content, you grant Netarise a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, publicly perform, and publicly display your User Content in connection with operating, providing, and improving the Platform.

    8.2 Your Responsibility

    You are solely responsible for your User Content. You represent and warrant that you have all necessary rights to post the content and that the content does not violate these Terms or any applicable law.

    8.3 Content Removal

    We reserve the right (but have no obligation) to review, remove, or modify User Content that violates these Terms or that we determine, in our sole discretion, to be inappropriate.

    8.4 Feedback

    If you submit feedback or suggestions about the Platform, you grant Netarise a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, without obligation or compensation.

    9. Intellectual Property

    9.1 Platform Ownership

    The Platform, including all software, design, branding, trademarks, copyrighted material, and other intellectual property, is owned by Netarise or its licensors. Nothing in these Terms transfers any intellectual property rights to you.

    9.2 Limited License to Use

    We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes, subject to these Terms.

    9.3 Trademarks

    "Netarise," "Netarise Cash," "Prime Business Systems," and related logos are trademarks of Netarise or Prime Business Systems. You may not use these trademarks without our prior written consent.

    9.4 Copyright Complaints

    If you believe content on the Platform infringes your copyright, please send a notice to support@mail.netarise.com that complies with the requirements of the Digital Millennium Copyright Act (DMCA), including identification of the work, identification of the infringing material, your contact information, and a statement made under penalty of perjury that you are authorized to act on behalf of the rights holder.

    10. Privacy

    Your use of the Platform is also governed by our Privacy Policy, available at netarise.com/privacy-policy. Please review it carefully. By using the Platform, you consent to the data collection and use practices described in the Privacy Policy.

    11. Affiliate Program

    Netarise operates an affiliate program through which approved members may earn commissions for referring new users to the Platform. Participation is governed by the Affiliate Program Terms, available at netarise.com/affiliates. The Affiliate Program is the only Platform feature in which real-world earnings are made directly available to participants based on referral activity.

    12. Account Termination

    12.1 Termination by You

    You may terminate your account at any time through your account settings or by contacting support@mail.netarise.com. Upon termination, your account, profile, content, in-platform balances (including Coins, Gems, and Netarise Cash), and other account data will be deleted or anonymized in accordance with our Privacy Policy. Voluntary account termination forfeits any accrued Netarise Cash balance.

    12.2 Termination by Us

    We may suspend or terminate your account at any time, with or without notice, for violations of these Terms, suspected fraud, legal compliance, security concerns, or any other reason in our sole discretion. Upon termination for cause, your in-platform balances (including Netarise Cash) are forfeited as described in Section 4 and elsewhere in these Terms.

    12.3 Effect of Termination

    Upon termination, all licenses granted by Netarise to you under these Terms cease immediately. The provisions of these Terms that by their nature should survive termination (including ownership, disclaimers, indemnity, and dispute resolution) will survive.

    13. Disclaimers

    13.1 As-Is Service

    THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.

    13.2 No Investment or Financial Advice

    Nothing on the Platform constitutes investment advice, financial advice, legal advice, tax advice, or any other professional advice. Coins, Gems, Shares, and Netarise Cash are not investments, securities, or regulated financial products.

    13.3 Netarise Cash-Specific Disclaimers

    You acknowledge and accept that:

    • Netarise Cash payouts are not active at the effective date of these Terms and may never activate;
    • Netarise Cash is held in a community pool and is subject to the operational and financial health of the Platform;
    • If the Platform ceases to operate before payouts activate, no real-world distributions will occur;
    • Netarise Cash balances may be reduced, frozen, decayed, reset, or forfeited under the rules described in these Terms;
    • Netarise's rules governing Netarise Cash may be modified from time to time;
    • Pool insolvency, payout delay, forfeiture, and rule modification do not give rise to any claim for damages against Netarise except as expressly provided herein and as required by applicable law;
    • Netarise Cash is offered without consideration of any kind being required from the user.

    14. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NETARISE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM, EVEN IF NETARISE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO NETARISE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

    SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

    15. Indemnification

    You agree to indemnify, defend, and hold harmless Netarise, Prime Business Systems, and their affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms; (d) your violation of any law or third-party right; or (e) any fraud or willful misconduct by you in connection with the Platform.

    16. Modification of Terms

    We may modify these Terms at any time. Material changes will be communicated through in-Platform notice, email to your registered address, or both, with reasonable advance notice. The "Last Updated" date at the top of these Terms reflects the most recent version. Your continued use of the Platform after the effective date of any modification constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform.

    Changes to the rules governing Netarise Cash, including contribution rates, distribution rules, activity criteria, forfeiture rules, payout thresholds, and KYC requirements, are part of these modifiable Terms. Existing balances are governed by the rules in effect at the time of payout.

    17. Dispute Resolution and Arbitration

    17.1 Informal Resolution

    Before initiating any formal proceeding, you agree to first contact us at support@mail.netarise.com to attempt informal resolution. We will work with you in good faith for at least thirty (30) days before either party may proceed with formal action.

    17.2 Binding Arbitration

    Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform that is not resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in Dover, Delaware, or by remote means at the arbitrator's discretion. The arbitrator's decision is final and binding.

    17.3 Disputes Regarding Netarise Cash

    Any dispute regarding Netarise Cash, including disputes over balance calculations, activity check determinations, forfeiture, payout eligibility, payout processing, or any related matter, is subject to the dispute resolution provisions of this Section 17, including binding arbitration in Dover, Delaware.

    17.4 Class Action Waiver

    You agree to resolve disputes only on an individual basis and waive any right to participate in a class action, class arbitration, or any consolidated proceeding. To the maximum extent permitted by applicable law, no arbitrator may consolidate claims of different users or preside over a class proceeding.

    17.5 Exceptions

    Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights or confidential information. Small claims court matters within applicable thresholds may proceed in small claims court.

    17.6 Governing Law

    These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. The Federal Arbitration Act governs the interpretation and enforcement of the arbitration provisions of this Section.

    18. International Use

    The Platform is operated from the United States. We make no representation that the Platform is appropriate or available for use in any particular jurisdiction. Users access the Platform on their own initiative and are responsible for compliance with local laws.

    Payouts of Netarise Cash, when activated, may not be available in all jurisdictions, including jurisdictions subject to U.S. sanctions. The list of eligible jurisdictions will be published prior to payout activation.

    19. Children's Privacy

    The Platform is not directed to children under 13. Users under 13 are not permitted to create accounts and are not eligible to participate in any Platform mechanic, including Netarise Cash. We comply with the Children's Online Privacy Protection Act (COPPA). If we learn that a child under 13 has provided personal information, we will delete that information and terminate the account. Parents who believe their child under 13 may have used the Platform should contact support@mail.netarise.com.

    20. Miscellaneous

    20.1 Entire Agreement

    These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Netarise regarding the Platform and supersede any prior agreements.

    20.2 Severability

    If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

    20.3 No Waiver
